Our client, a prominent organisation within the housing sector, is seeking a qualified and proactive senior Company Secretary and Corporate Governance practitioner to join its Corporate Services Department. The department provides comprehensive legal, regulatory, and governance support to ensure the organisation adheres to ethical standards, best practices, and applicable laws. This role will be instrumental in maintaining compliance with corporate, regulatory, and internal policies.
JOB SUMMARY:
This is an exciting opportunity for a senior Company Secretary looking to take the next step up in their career. Reporting directly to the Chief Governance and Legal Officer, the successful candidate will play a vital role in linking the Board, senior management, and regulatory authorities. The position carries significant responsibilities with a direct impact on the organisation's operations and reputation.
KEY RESPONSIBILITIES:
Governance & Legal Compliance:
- Maintain a strong understanding of relevant legislation and regulations affecting the housing and not-for-profit sectors.
- Ensure the organisation complies with Irish Corporate Governance standards and Company Law.
- Keep all company secretarial records up to date and ensure changes are accurately reflected in internal systems.
- Provide proactive, timely advice to the Board and Committees on their statutory obligations and emerging legal developments.
- Prepare and file statutory returns with the Companies Registration Office (CRO), Register of Beneficial Ownership (RBO), and other regulatory bodies.
- Manage relationships with external regulators and prepare formal submissions and responses as needed.
Board & Committee Support:
- Organise Board, Committee, and AGM meetings, including Planning Days and working groups.
- Prepare and distribute agendas, reports, and meeting packs using board portal software.
- Attend meetings, take comprehensive notes, and draft minutes and action point lists for internal circulation.
- Produce minute extracts and manage the completion of follow-up actions.
Stakeholder Engagement:
- Liaise with auditors, legal advisors, and other external professionals as required.
- Respond to day-to-day queries from Board Members, internal staff, and auditors.
Corporate Culture & Development:
- Promote a strong culture of governance, compliance, and best practice across the organisation.
- Engage with team members to provide support and foster collaboration within the Corporate Services Department.
- Contribute to organisational projects and work closely with internal stakeholders to drive improvements.
Training & Development:
- Attend training relevant to the role and keep up to date with changes in law and governance.
General Responsibilities:
- Maintain high standards of discretion and professionalism in all aspects of the role.
- Carry out any additional duties consistent with the position.
