About the Role
We are seeking an in-house legal counsel for a one-year contract, specializing in investment funds. This role involves advising on applicable law and regulatory developments, managing legal aspects of corporate governance, compliance, and contracts, and participating in regulatory and business projects. The successful candidate will also be responsible for reviewing, drafting, and negotiating contracts, presenting topics at Board meetings, and ensuring sound corporate governance. This position requires close collaboration with senior management, Designated Persons, and other teams like Compliance and Risk.
About the Company
The role is based in Dublin within a UCITS management company that has approximately 30 staff and manages around EUR 50 billion in assets. This entity acts as an investment manager for other parts of a larger Asset Management Group. The role holder will be part of an international legal team with lawyers located in six different countries. The company offers a collaborative legal environment where the successful candidate can work closely with the business and contribute significantly.
Key Responsibilities
Advising on applicable law and regulatory developments affecting the fund management company.
Managing and advising on legal aspects of corporate governance, legal compliance, contracting, regulatory engagement, and general legal matters.
Reviewing, drafting, and negotiating contracts.
Participating in regulatory and business projects.
Presenting relevant topics at Board and governance meetings.
Ensuring sound corporate governance and compliance, including company secretarial support, board meetings, minutes, and filings.
Advising and collaborating with senior management, Designated Persons, and other teams (including Compliance and Risk) to implement legal and regulatory requirements.
Working proactively as part of a cross-border legal team.
Coordinating with external counsel when necessary.
Managing files efficiently and effectively.

Requirements
Qualified Solicitor with 1-3 years post-qualification experience.
Legal experience in investment funds.
Knowledge of UCITS/AIFMD frameworks and Central Bank of Ireland guidance/requirements for fund management companies and investment funds.
