An excellent opportunity has arisen for an experienced and proactive Deputy Company Secretary to join a dynamic organisation based in Dublin West with operations in Ireland, UK and Europe. In this role, you will play a critical part in ensuring robust corporate governance and legal compliance across the business. Reporting to the Head of Legal and Company Secretary, you will support key governance functions and provide strategic guidance on regulatory obligations and best practices.
Key Responsibilities
Corporate Governance
- Ensure compliance with applicable laws, regulations, and corporate governance codes.
- Advise the Board of Directors and Executive Management on governance best practices and legal developments.
- Act on behalf of the Company Secretary in arranging Board and Committee meetings, including liaising with stakeholders, preparing and circulating Board packs, attending meetings, and drafting minutes and action points.
Legal Compliance
- Monitor and manage legal and regulatory filings to ensure all statutory requirements are met.
Company Records and Documentation
- Maintain and update statutory registers (e.g., directors, members).
- Manage the company's registered office and handle official correspondence.
- Implement and maintain efficient document management systems.
- Maintain the RBO register (Republic of Ireland) and PSC register (UK entities).
- Coordinate company incorporations, dissolutions, name changes, and amendments to constitutional documents.
Communication and Reporting
- Act as a communication link between the Board and Executive Management.
- Prepare and distribute Board packs, including financial statements and annual reports.
Shareholder Relations
- Manage shareholder communications and address queries.
- Organise and coordinate shareholder meetings, including AGMs.
Risk Management
- Support the identification and management of legal and regulatory risks.
Training and Development
- Keep up to date with legislative changes and governance trends.
- Deliver governance training to Directors and senior leadership.
- Assist in onboarding new Directors, ensuring understanding of governance roles and responsibilities.
Ethics and Integrity
- Promote ethical conduct and support the development and enforcement of a company-wide code of conduct.
Collaboration with Legal and Regulatory Bodies
- Monitor legislative changes and ensure company practices remain aligned with legal obligations.
Confidentiality
- Ensure the secure handling of sensitive information and compliance with data protection laws.
Skills and Experience
- Strong knowledge of company law and corporate governance requirements in Ireland (e.g., Companies Act).
- A legal/business qualification (e.g., Law degree or ICSA/CGI qualification) is desirable.
- Minimum 2 years' post-qualification experience (PQE) in a relevant legal, company secretarial, or compliance role.
- Proven ability to manage legal filings, maintain records, and ensure governance standards.
- Excellent communication skills-both written and verbal.
- Strong organisational skills with the ability to manage multiple responsibilities.
- A full clean driving licence and access to a car is preferred.
