This role offers the opportunity to work on high-value cross-border deals across multiple jurisdictions, supporting global corporations, private equity investors, and financial institutions.
You will collaborate closely with partners and international teams on strategic transactions across technology, infrastructure, and energy sectors, gaining exposure to sophisticated global deal execution and international legal practices.
Key Responsibilities
- Advise multinational clients on complex cross-border mergers and acquisitions transactions.
- Draft and negotiate transaction documentation, including share purchase agreements and joint venture agreements.
- Coordinate with international offices and multidisciplinary legal teams on multi-jurisdictional transactions.
- Support legal due diligence, transaction structuring, and regulatory considerations for global deals.
- Work closely with partners and senior lawyers on technology, infrastructure, and energy sector transactions.
- Contribute to the execution of both private and public M&A transactions involving global clients.
Required Skills and Qualifications
Experience:
- 4-8 years of post-qualification experience in corporate law or M&A transactions.
- Experience working on cross-border M&A transactions within a law firm environment.
- Strong experience drafting core transaction documents such as purchase agreements and joint venture contracts.
- Experience advising multinational corporations, financial institutions, or private equity investors.
Soft Skills:
- Strong commercial awareness and the ability to understand complex deal structures and business objectives.
- Ability to manage multiple workstreams in fast-paced transactional environments.
- Excellent communication skills when working with international clients and global legal teams.
- Strong attention to detail with a collaborative, team-oriented mindset.
Language Requirements:
- Japanese: Native level
