    About the job

    Our client, a leading global re-insurance organisation is seeking an experienced Senior Company Secretary to join its Irish operations based in Dublin City Centre working on a hybrid working arrangement. This is a senior, high-profile role supporting the Board and senior management team, with responsibility for corporate governance, regulatory engagement, and oversight of outsourced activities across a number of European jurisdictions.

    The role offers an excellent opportunity to work at the heart of a regulated reinsurance business, engaging directly with the Board, the Central Bank of Ireland, and international service providers.

    The Role

    Reporting to the CEO and working closely with the Board, you will play a key role in ensuring strong governance, effective regulatory compliance, and efficient organisational operations. In addition to acting as Company Secretary, you will hold responsibility for outsourcing oversight under Irish regulatory requirements and support the day-to-day running of the Irish office.

    Key Responsibilities

    Corporate Governance & Board Support

    • Act as Company Secretary for the Irish entity/entities.
    • Plan, coordinate, and attend a programme of Board and Board sub-committee meetings.
    • Prepare agendas, board packs, minutes, and action tracking to a high standard.
    • Advise the Chair, Board, and senior management on governance, statutory, and regulatory matters.
    • Ensure compliance with Irish company law, governance codes, and internal group policies.

    Head of Outsourcing

    • Lead the outsourcing framework in line with Central Bank of Ireland requirements.
    • Oversee outsourced service providers in Ireland and across other European countries.
    • Ensure appropriate governance, risk assessment, contractual arrangements, and ongoing monitoring of outsourced activities.
    • Act as a key contact for outsourcing-related regulatory engagement and reviews.

    Regulatory Engagement

    • Support and manage interactions with the Central Bank of Ireland, particularly in relation to governance and outsourcing.
    • Coordinate regulatory submissions, responses to information requests, and supervisory engagement.
    • Liaise with internal stakeholders, group functions, legal advisors, auditors, and external service providers.

    Office Management & Organisational Support

    • Oversee office management and administration for the Irish office.
    • Coordinate facilities, suppliers, and general office operations.
    • Provide organisational and administrative support to ensure a professional and well-run office environment.

    About You

    You will be a confident, detail-oriented professional with strong governance and regulatory experience, comfortable operating at Board level in a regulated financial services environment.

    Essential Experience

    • Significant experience in a senior company secretarial or governance role, ideally within insurance, reinsurance or financial services.
    • Strong understanding of Irish corporate governance and regulatory requirements.
    • Experience supporting Boards and Board committees.
    • Experience overseeing or managing outsourcing arrangements, preferably on a cross-border basis.
    • Proven ability to engage effectively with regulators, particularly the Central Bank of Ireland.

    Desirable

    • ICSA / CGI qualification or equivalent.
    • Experience within an international insurance or reinsurance group.
    • Familiarity with PCF/PCH regulatory responsibilities and outsourcing guidance.
