Our client the the alternative asset management platform of an international investment bank.
Responsibilities
- Provide legal advice and execution support for Private Equity fund investments, covering legal, corporate, and transaction support.
- Support transactions across Hong Kong, Mainland China, and other Asia Pacific jurisdictions by reviewing, negotiating, and drafting transaction documents.
- Attend to signing and closing of transactions, coordinate with external counsel and group legal, and handle transaction-related document work (e.g., NDAs, engagement letters, resolutions).
- Perform KYC and AML checks in coordination with relevant group functions; support alternative investment fund formation activities including drafting, reviewing, and negotiating formation documentation.
- Coordinate and host key meetings (including Investment Committee meetings), prepare internal/external applications and reports on legal/regulatory matters, and provide ongoing in-house legal guidance to business units while managing relationships with external law firms.
Requirements
- Qualified lawyer with a minimum of 5 PQE, and experienced in negotiating deal documentation and other commercial agreements.
- Familiar with onshore and offshore deals, including transactional and regulatory aspects of private equity deals.
- Corporate transaction experience, particularly in M&A and PE investment in Mainland China.
- Fluency in both English and Chinese.
