Join a global professional services firm in Tokyo and advise leading domestic and international Private Equity (PE) funds across the full M&A transaction lifecycle.
Title is negotiable from Consultant, Senior Consultant, Manager, to Senior Manager.
In this position, you will lead operational advisory engagements spanning Carve-Out Due Diligence, Operational Due Diligence (ODD), Day 1 Readiness, Value Creation, and Exit Readiness.
This role goes beyond identifying transaction risks. You will evaluate operational performance, uncover EBITDA improvement and synergy opportunities, support successful carve-outs, and help PE clients create value throughout the investment lifecycle.
It offers an excellent opportunity for an experienced M&A or management consulting professional to build deep expertise in private equity transactions while working on both Japanese and cross-border deals.
Key Responsibilities
- Conduct buy-side Carve-Out Due Diligence to evaluate target operating models, operational structures, separation requirements, and improvement opportunities.
- Lead Operational Due Diligence (ODD) to identify business risks, potential EBITDA improvements, value creation opportunities, and transaction synergies.
- Support planning and execution from definitive agreement signing through closing to ensure Day 1 Readiness for carve-out businesses.
- Develop actionable recommendations to help PE clients address operational issues identified during the due diligence process.
- Collaborate with other specialist service lines to develop and execute Value Creation Roadmaps following transaction close.
- Support ongoing performance improvement initiatives across PE portfolio companies.
- Develop Exit Readiness Plans to prepare portfolio companies for future transactions and maximize value at exit.
- Collaborate with domestic and international clients and multidisciplinary advisory teams throughout complex M&A transactions.
Required Skills and Qualifications
Experience:
- Bachelor's degree in Accounting, Finance, Engineering, Computer Science, Economics, Analytics, or a related discipline.
- Relevant professional experience appropriate to the position level: 3+ years for Senior Consultant, 5+ years for Manager, or 8+ years for Senior Manager.
- Strong management consulting experience within M&A, transactions, or related advisory services.
- Deep understanding of financial statements and operational performance metrics.
- Experience analyzing complex businesses and translating financial and operational findings into actionable recommendations.
- Ability to travel to client locations in Japan and internationally as required.
Soft Skills:
- Strong ability to determine priorities and make sound decisions in complex and fast-moving business environments.
- Adaptability and intellectual agility when approaching unfamiliar business challenges and concepts.
- Excellent stakeholder management and collaboration skills across clients, PE investors, portfolio companies, and multidisciplinary advisory teams.
- Strong analytical and problem-solving capabilities with a commercially focused mindset.
- Ability to drive projects forward while managing multiple workstreams and stakeholder expectations.
Language Requirements:
- Japanese: Fluent / Business level
- English: Fluent
Preferred Skills & Qualifications
- Experience working directly with Private Equity funds or PE-backed portfolio companies.
- Hands-on experience in Operational Due Diligence, Carve-Out Due Diligence, or transaction-related operational assessments.
- Experience supporting Day 1 Readiness, post-merger integration (PMI), or carve-out execution.
- Knowledge of EBITDA improvement, cost optimization, operational synergies, and other Value Creation initiatives.
- Experience developing or executing Value Creation Roadmaps for portfolio companies.
- Experience supporting Exit Readiness or preparing businesses for future transactions.
- Exposure to both domestic Japanese and cross-border M&A transactions.
