The ideal candidate will be responsible for providing company secretarial services to a diverse portfolio of clients. This role involves supporting both existing and prospective new funds, private and listed, ensuring compliance with corporate governance codes, best practices, and company secretarial procedures. Additionally, the role includes duties for other operating entities.
Key Responsibilities
- Organizing and attending board and committee meetings.
- Coordinating with board members and relevant stakeholders regarding meeting logistics.
- Preparing agendas, action points, and minutes for meetings in a timely manner.
- Providing company secretarial assistance for the establishment of corporate entities and LPs across various jurisdictions, and maintaining company records, share and registrar functions, and system upkeep.
- Ensuring adherence to corporate governance principles across all company secretarial matters.
- Handling stock exchange announcements as needed.
- Facilitating the preparation and distribution of board packs in collaboration with fund administration teams.
- Maintaining open communication with client teams at all levels.
- Drafting notices, proxies, and other documents for General Meetings, in consultation with legal advisors.
- Overseeing the dispatch and collection of proxies, and liaising with external registrars when required.
- Completing statutory filings and fee payments within specified timeframes.
- Managing databases and Document Management Systems according to established procedures.
- Updating the Company Secretarial Meeting Planner and Calendar.
- Assisting with Company Secretarial aspects of onboarding new clients.
- Ensuring ongoing compliance with statutory and regulatory requirements for funds.
- Providing additional support services as necessary.
Qualifications
- 1-8 years' experience in Company Secretarial, fund administration, or similar roles.
- Familiarity with UKLA Listing Rules, MAR, and local regulatory frameworks.
- Qualified ICSA (or working towards qualification) is advantageous.
- Proficient in drafting concise and accurate meeting minutes.
- Ability to thrive under pressure and meet deadlines.
- Strong understanding of professional services.
- Advanced proficiency in Microsoft Office, including Word, Excel, Adobe, Outlook, and other relevant software.
- Excellent written and verbal communication skills, with a collaborative approach to teamwork.
- Demonstrated ability to maintain clear, concise records and add value to the Company Secretarial function.
- Self-motivated, efficient, and highly organized.
