Job Title: Company Secretarial Professional
A leading Dublin-based law firm is looking for a dynamic and self-driven professional to join its growing Corporate Services team. Reporting to the Head of Corporate Services, the successful candidate will provide high-quality Company Secretarial (CoSec) services to a diverse portfolio of Irish and international funds. Purpose of the Role
The role involves ensuring the smooth delivery of Company Secretarial and Corporate Governance services to Irish and international funds. Key responsibilities include organizing and attending board, committee, and shareholder meetings, preparing and filing regulatory compliance documents, and supporting corporate transactions. There will also be opportunities to contribute to special projects, including corporate actions and governance initiatives.
Key Responsibilities:
- Manage a varied portfolio of Irish and international clients, delivering high-quality company secretarial services within agreed timelines.
- Ensure compliance with Irish corporate governance and regulatory frameworks, staying updated on all relevant legislation.
- Attend and minute board, committee, and shareholder meetings, including occasional travel to client locations.
- Prepare board papers, compile and distribute board packs, and ensure timely communication with client boards.
- Review corporate documentation in collaboration with legal advisors and other stakeholders.
- Handle statutory filings and draft necessary documents to ensure compliance with legal requirements.
- Assess client structures and conduct regular reviews to ensure risk management and compliance.
- Assist with interpreting legal and tax advice, ensuring accurate implementation in client transactions.
- Maintain and update statutory registers and records, ensuring compliance with all obligations.
- Build and maintain strong relationships with client boards, external advisors, and regulatory bodies.
- Handle office administration tasks such as billing and project management, ensuring efficiency and accuracy.
- Manage client correspondence and prepare reports, ensuring action points are followed up in a timely manner.
- Support the development and maintenance of internal policies and procedures, including contributing to a knowledge base for the team.
- Manage billing and cash collection processes, ensuring efficiency and reducing the need for write-offs.
- Ensure adherence to Risk & Compliance procedures, including AML regulations, and monitor for any unusual transactions.
- Keep up to date with Continuous Professional Development (CPD) requirements in line with industry qualifications and in-house policies.
- Uphold the firm's core values and contribute to a positive and collaborative team environment.
- Perform other tasks as directed by management.
Essential Requirements:
- Proven experience in providing company secretarial services to Irish and international funds.
- Strong knowledge of Irish fund regulations and experience with regulatory systems (e.g., ONR management).
- Ability to build and maintain strong professional relationships with client boards and advisors.
- Demonstrated leadership abilities, with experience in guiding and developing team members.
- High level of attention to detail, with excellent analytical and report-writing skills.
- Candidates should ideally hold or be working towards relevant qualifications (e.g., ICSA or equivalent).
- Strong organizational skills, with the ability to manage multiple priorities and tasks effectively.
- Excellent problem-solving skills and the ability to work both independently and as part of a team.
