Your Role:
The Assistant Company Secretary plays a vital support role for the Board, Board Committees, and Executive Committee (ExCo). This position offers guidance and advice from the Governance & Secretariat Team to the CEO, Chairman, and Committee Chairs, ensuring the effective fulfillment of the company's governance responsibilities.
Your Responsibilities:
- Attendance where required at Board, Board Committee and ExCo Meetings and to prepare high quality minutes and manage agendas, pipeline, and terms of references
- Work with the Deputy Company Secretary to assess and ensure corporate governance is effective;
- Work with the Deputy Company Secretary to embed all internal Group policies or frameworks as they relate to the department;
- Lead the company wide governance process;
- Provide advice and support to relevant persons and forums within the Governance Framework on the implementation of governance standards;
- Support the Governance & Secretariat Team on any other matters as may be requested by the Deputy Company Secretary from time to time.
Requirements:
- Degree plus professional qualifications, an Associate of the Institute of Chartered Secretaries and Administrators would be preferable or relevant legal or business qualification.
- 3 years + work experience in professional environment
- High degree of technical knowledge on governance related legislation/regulation (ideally from within financial services)
- Experienced Minute taker
- An understanding of the key legal and regulatory drivers for governance standards within a legal entity with specific experience of dealing with listed and/or regulated entities desirable.
- An understanding of how Boards operate and an ability to identify the essential information Directors need to enable them to reach sound business decisions.
- Capacity and confidence to manage the expectations of senior executives and Board members.
- Strong administrative skills with a key focus on attention to detail.
- Demonstrated ability to manage multiple demanding initiatives concurrently, balancing multiple priorities and execute against tight timeframes.
