Job Description
A global logistics operator is seeking a legal executive with experience in board meetings to join their company secretarial teamin-house team.
Position: Company Secretary (Corporate Legal Executive)
Location: Dublin
Job Description:
The successful candidate will report to directly to a director based overseas and play a pivotal role in providing corporate legal support to the organisation's clients and joint ventures in Ireland.
Responsibilities:
- Organise and prepare agendas for board meetings.
- Record minutes during board meetings, shareholders' annual gatherings, and general meetings.
- Actively participate in meeting discussions when required, providing valuable insights on the relevant legal and governance policies.
- Maintain statutory records, including registers of members, directors, and secretaries, in accordance with corporate law.
- Ensure that decisions made during meetings are promptly communicated to the relevant stakeholders.
- Monitor changes in relevant legislation and the regulatory environment to guarantee the companies' compliance with legal and statutory requirements.
- Collaborate with regulators and advisors, including company secretaries, lawyers, public notaries, chambers of commerce, and auditors.
- Assisting and supporting the General Counsel in continuously improving and developing work processes, as well as performing any other relevant duties.
Experience and Relevant Skills:
- Bachelor's Degree in Law
- A minimum of 3 years of relevant experience with either a Law Firm or a company
- Excellent interpersonal and communication skills
- The capability to work independently while also making successful contributions to cross-functional teams
- An ability to thrive under pressure and meet deadlines
- The capacity to establish personal and professional credibility with boards, senior management teams, regulators, and advisors
