Job Description

Top wealth management firm seeking additional qualified assistant company secretary with proven experience, attention to detail and flexibility

Job Purpose:

  • To support the Company Secretary in the smooth operation of the Company Secretarial and Legal Department
  • To provide general company secretarial support to the Wealth Management Group
  • Board and Committee support

Key Areas of Responsibility:

While the day to day activities vary considerably according to the time of year, the role holder may expect to see the following broad breakdown in the workload:

  • Meeting Support - 60%
  • Corporate administration - 30%
  • Share Schemes - 10%

Meeting Support:

  • liaison with the relevant Board/Committee regarding the planning, coordination, and preparation of agendas and papers;
  • attend and minute Committee meetings;
  • produce minutes, agree their content with the Chair and circulate them;
  • create matters arising trackers and follow up the actions.

Corporate administration:

  • maintaining the Board & Committee annual agenda planner;
  • updating the Company's website and intranet as it pertains to the Company Secretarial Department;
  • maintaining Board and Committee terms of reference;
  • liaison with the Finance Department and others in producing company annual report & accounts;
  • statutory compliance administration and filing;
  • maintaining the Blueprint database;
  • proactively assisting with auditor and internal auditor requests;
  • developing guidance notes and procedures critical to the efficiency of the Company Secretarial department

Share Schemes: assisting the Finance Department with the company secretariat aspects of employee share plans.

Deputising: and covering for the Company Secretary and the Company Secretarial Assistant during their absence or when required.

Qualifications & Experience:

  • Qualified Chartered Secretary (2+ years PQE)
  • Experience of financial services company secretariat within a firm authorised and regulated by the FCA.
  • Experience in share scheme administration desirable.

Knowledge & Skills:

  • Proven minute writing skills appropriate to the financial services sector.
  • Excellent attention to detail and handles tasks with thoroughness and accuracy.
  • Effectively balances priorities to meet deadlines agreed for the individual and/or the team.
  • Excellent standard of written and verbal communication.
  • A demonstrated ability to communicate effectively at all levels; able to develop and maintain key relationships.
  • Able to work collaboratively with team members and others;
  • Holds self and others to the highest standards of professional and administrative excellence.
  • Demonstrates flexibility to adapt to changing business needs.
  • Trustworthy, discreet and can be relied upon to keep confidential information as confidential.
  • Good ICT skills: Blueprint OneWorld, Microsoft Office and BoardIQ (preferable but training can be provided).
  • Excellent team player.
