Financial Due Diligence Associate - M&A Tokyo

Join a leading financial advisory firm in Tokyo as a Financial Due Diligence Associate / Senior Associate, working on a diverse portfolio of domestic and cross-border M&A transactions.

This role focuses on Financial Due Diligence (FDD) while providing broader exposure to financial analysis, valuation, share purchase agreement support, and Post-Merger Integration (PMI). You will use your accounting and finance expertise to analyse businesses, interpret financial findings, and provide actionable advice to clients throughout the transaction lifecycle.

Key Responsibilities

• Conduct Financial Due Diligence (FDD) for domestic and cross-border M&A transactions using your accounting and financial expertise.
• Perform detailed financial analysis of target companies and interpret findings to identify key transaction considerations.
• Translate complex financial analysis into clear, commercially relevant advice for clients.
• Support valuation work related to M&A transactions.
• Provide financial analysis and input for Share Purchase Agreements (SPA) and other transaction-related documentation.
• Identify financial and operational issues relevant to Post-Merger Integration (PMI) and support related advisory services.
• Work with overseas teams and other specialist service lines to support domestic and international transactions.
• Contribute across the transaction lifecycle while developing broader expertise in M&A and financial advisory services.

Required Skills and Qualifications

Experience:

• Professional qualification or equivalent accounting knowledge, such as Japanese CPA, successful completion of the Japanese CPA examination, US CPA or another overseas accounting qualification, or an MBA with a strong accounting background.
• At least 3 years of professional work experience.
• Bachelor's degree from a four-year university or equivalent.
• Proficiency with Excel, PowerPoint, and Word.
• Experience working for a domestic or international audit firm is highly relevant to this position.

Soft Skills:

• Ability to approach non-routine and complex business issues with flexibility and sound judgement.
• Strong analytical skills with the ability to understand client concerns and communicate financial findings clearly.
• Excellent collaboration skills and the ability to work effectively with domestic and international stakeholders.
• Team-oriented approach with the ability to contribute effectively in a fast-moving transaction environment.

Language Requirements:

• Japanese: Fluent
• English: Intermediate to Business level

Preferred Skills & Qualifications

• Professional experience using English in a business environment.
• Experience working for a domestic or international audit firm.
• Previous exposure to M&A, Financial Due Diligence, valuation, or other transaction-related advisory services.
• Experience analysing financial statements and communicating findings to clients or senior stakeholders.
