This senior legal position is based within the legal department of a leading Japanese financial institution, specializing in private-side primary market transactions. You will work on cross-border deals and structured investments, playing a critical role in advising business leaders and strengthening governance frameworks. Key Responsibilities
- Provide legal advice on private-side primary market transactions including equity, debt, and structured investments.
- Draft, review, and negotiate cross-border agreements, including those related to SPVs and investment structures.
- Deliver strategic and practical legal counsel to business leaders.
- Collaborate with Compliance and Risk teams to reinforce governance.
- Support business growth by establishing legal frameworks for international transactions.
Required Skills and Qualifications
Experience:
- 7-12 years of legal experience in investment banking, financial institutions, or capital markets.
- Deep knowledge of private-side primary market transactions and structured finance.
- Understanding of SPV schemes, private funds, and cross-border legal risk management.
Soft Skills:
- Strong commercial acumen, with the ability to thrive in a fast-paced global environment.
- Exceptional communication and negotiation skills to build trust with senior stakeholders.
Language Requirements
- Japanese: Fluent (for internal and external stakeholder engagement).
- English: Fluent (for cross-border negotiations and international collaboration).
Preferred Skills & Qualifications
- Legal Credentials: U.S., U.K., or other common law qualification (Japanese Bar not required).
- Advisory experience in private equity, private debt, and structured investment products.
- Proven track record in managing multi-jurisdictional transactions and collaborating with global teams.
