The Opportunity
Reporting to the Company Secretary, the Company Secretariat Manager will play a pivotal role in managing and developing the Secretariat function and act as a key conduit between the Board and the business. This is an exciting opportunity for an experienced corporate governance professional to contribute to a dynamic organisation at the forefront of Ireland's energy transition.
The job is a 2 year fixed term contract (that may extend or go permanent) with full benefits including hybrid working arrangement of two days in the office per week. The job can be based in the Cork or Dublin office but one day per week in the Cork office is mandatory.
Key Responsibilities
- Manage all aspects of Board and Committee governance, including scheduling meetings, preparing and distributing papers, attending meetings, recording minutes, and tracking follow-up actions.
- Oversee governance for subsidiary boards, ensuring accurate records, filings, and correspondence.
- Ensure compliance with the Code of Practice for the Governance of State Bodies, the UK Corporate Governance Code, and other relevant regulatory frameworks.
- Manage corporate governance sections of the Annual Report.
- Ensure compliance with the Companies Act 2014 and related legislation.
- Manage statutory filings, registers, and minute books, and oversee document control processes, including the sealing of agreements.
- Lead the completion of ethics, lobbying, and business conduct returns.
- Advise the Chief Legal Officer, Board, and senior management on governance and company law matters.
- Manage, coach, and develop junior Secretariat team members.
- Coordinate induction and ongoing training for Board members.
- Oversee the annual Board evaluation process and ensure continuous governance improvements.
- Support the development and maintenance of corporate policy documentation.
Skills and Experience
- Minimum of 5 years' experience in a senior company secretarial or governance role.
- A third-level qualification in law, governance, business, or a related discipline.
- Strong understanding of Irish company law and public sector governance.
- Proven experience in managing Board and Committee processes within complex or regulated environments.
- Excellent written and verbal communication skills, with the ability to present complex issues clearly.
- Strong influencing skills and the ability to maintain effective relationships across multiple stakeholders.
- Commercially aware with sound financial and strategic judgement.
- Highly organised, detail-oriented, and capable of managing confidential information with discretion.
- Experience working in a semi-state, regulated, or utility sector organisation is an advantage.
- Demonstrated leadership in developing team capability and driving high performance.
