Join a leading global professional services firm as a Legal Specialist (M&A) within its Tokyo Legal & Compliance team. This newly created position has been established to support the company's rapidly expanding domestic M&A activities, particularly within the insurance sector. Working closely with senior business leaders, regional legal teams, and external counsel, you will play a pivotal role throughout the entire M&A lifecycle, from legal due diligence and transaction execution to post-merger integration (PMI).
This is an outstanding opportunity for an experienced M&A Lawyer, In-House Legal Counsel, or Corporate Legal Specialist seeking to build expertise in strategic acquisitions within a global organization.
Key Responsibilities
- Provide legal support for domestic M&A transactions throughout the entire deal lifecycle.
- Conduct comprehensive legal due diligence on acquisition targets.
- Draft, review, and negotiate transaction documents, including NDAs, LOIs, SPAs, and related agreements.
- Lead legal negotiations with target companies and internal business stakeholders.
- Manage and coordinate external legal counsel throughout transaction processes.
- Support transaction execution from signing through closing.
- Provide legal guidance on post-merger integration (PMI) projects.
- Prepare legal reports and updates for regional and global legal teams.
- Provide general corporate legal advice and support on business initiatives as required.
Required Skills and Qualifications
Experience:
- Experience supporting M&A transactions either in private practice or as in-house legal counsel.
- Strong experience drafting, reviewing, and negotiating commercial and transaction agreements.
- Experience managing complex legal matters involving multiple stakeholders.
- Business-level English communication skills.
- Bachelor's degree or equivalent legal qualification.
Soft Skills:
- Excellent communication and stakeholder management skills.
- Ability to manage multiple transactions simultaneously while meeting deadlines.
- Strong commercial judgement and practical problem-solving abilities.
- Self-motivated with the ability to work independently while collaborating across international teams.
- Excellent attention to detail, organizational, and project management skills.
Language Requirements:
- Japanese: Native
- English: Intermediate / Business
Preferred Skills & Qualifications
- Experience managing M&A transactions through signing and closing.
- Experience supporting Post-Merger Integration (PMI) projects.
- Insurance or broader financial services industry experience.
- Japanese or overseas legal qualification is advantageous but not essential.
- Experience working within multinational organizations or international legal teams.
