A tier-1 global corporate and investment bank is seeking a Transaction Manager to lead the execution of structured finance deals across JOLCO, ECA-backed loans, and project finance. This is a front-office, deal-focused role based in Tokyo, with full lifecycle responsibility from structuring through documentation and closing. You will work closely with internal stakeholders and external parties to drive cross-border transactions to completion while ensuring risk, legal, and compliance requirements are met.
Execute structured finance transactions including JOLCO, ECA-backed, and project finance deals
Coordinate with origination, legal, risk, and syndication teams to structure and close transactions
Prepare internal credit memos, perform financial analysis, and lead risk assessments
Manage and negotiate term sheets, facility agreements, waivers, and other legal documentation
Liaise with clients, law firms, ECAs, leasing companies, and banks involved in the transactions
Support portfolio management including amendments, monitoring, and reporting
Ensure full compliance with legal, regulatory, and internal policies throughout the transaction lifecycle
Experience:
7-10 years in structured finance or transaction management
Deep familiarity with ECA finance, JOLCO, project finance, or export finance products
Strong documentation and negotiation experience (facility agreements, waivers, term sheets)
Proficiency in credit analysis, transaction modelling, and risk processes
Soft Skills:
Excellent stakeholder coordination across front-office and control functions
Detail-oriented with the ability to manage complex, cross-border transactions
English: Fluent
Japanese: Native
Experience working in megabanks, global banks, or leasing companies
Exposure to ECA and aviation-related financing structures is a plus
