Roles/Responsibilities
- Draft and negotiate M&A agreements, including asset purchase agreements, stock purchase agreements, and merger agreements.
- Conduct due diligence and coordinate with cross-functional teams to identify and mitigate legal risks in M&A transactions.
- Advise clients on transactional structuring, regulatory compliance, and legal implications of M&A deals.
- Collaborate with external counsel and clients to develop and execute M&A strategies and negotiate deal terms.
- Stay up-to-date with relevant laws, regulations, and market trends to provide insightful and proactive legal advice to clients.
Required skills
- Minimum of 5 years of experience practicing M&A law at a leading law firm as a US-qualified lawyer
- Proven track record in handling complex M&A transactions, including cross-border deals and private equity transactions.
- In-depth knowledge of relevant U.S. securities laws, corporate governance practices, and regulatory requirements in M&A transactions.
