Job Description
Junior capital markets lawyer sought. Join a reputable firm, advise clients on securities offerings, regulatory compliance, and capital market transactions
Roles/Responsibilities
- Advise clients on capital market transactions, including initial public offerings (IPOs), debt offerings, and securities regulations.
- Prepare and review legal documentation, including prospectuses, offering memoranda, and disclosure filings.
- Conduct due diligence on issuers and coordinate with underwriters, regulators, and other parties involved in capital market transactions.
- Provide guidance on regulatory compliance matters, including securities laws, stock exchange requirements, and corporate governance.
- Assist in negotiating and structuring complex financial transactions and agreements.
Required skills
- Minimum of 2 years of experience practicing capital markets law at a reputable law firm or in-house legal department.
- Track record of working on capital market transactions, including IPOs, debt offerings, and securities compliance matters.
- US, Commonwealth, or Japanese qualification
Preferred skills
- Knowledge of capital markets laws and regulations, including securities offerings, SEC filings, and disclosure requirements.
- Drafting and negotiation skills to prepare and review legal documentation.
- Attention to detail and ability to manage multiple tasks and deadlines in a fast-paced environment.
